Terms and Conditions

To use the Services, you must be at least eighteen (18) years of age and have the legal authority to enter into a binding contract on behalf of yourself or the organization you represent. If you create an account, you agree to provide accurate, current, and complete information, including your name, business name, billing contact, business email address, and telephone number, and to keep that information updated.

You are responsible for safeguarding your login credentials and for every activity that occurs under your account. Account credentials are personal to the individual or organization to whom they were issued and may not be shared, sold, or transferred. If you suspect any unauthorized access to your account, you must notify Infos B4B at info@infosb4b.com without delay.

Subject to your continued compliance with these Terms and payment of any applicable fees, Infos B4B grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and the data we provide (“Data”) solely for your own internal business and marketing purposes during the license term specified in your order. Unless your order expressly states otherwise, all licenses are for a single, time-bound usage and do not convey any ownership or perpetual rights in the Data.

Any use of the Services or Data beyond the scope of this license — including resale, redistribution, sublicensing, or use after the license period ends — is strictly prohibited unless authorized by Infos B4B in writing.

These Terms take effect when you first access or use the Services and remain in effect until terminated. Either party may terminate the relationship at any time by providing written notice to the other. Infos B4B may also suspend or terminate your account or access to the Services immediately, with or without notice, if we reasonably believe you have violated these Terms, failed to pay outstanding fees, or engaged in conduct that may expose Infos B4B or its other customers to legal, reputational, or operational risk.

Upon termination, your right to access and use the Services ends, and you must permanently delete or destroy any Data still in your possession that is no longer covered by an active license. Sections of these Terms that by their nature should survive termination — including those relating to ownership, payment obligations, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Infos B4B and its licensors retain all right, title, and interest in and to the Services, the Data, our master database, all aggregated and derivative data, our trademarks (including the Infos B4B name and logo), our website content, and all related intellectual property, including patents, copyrights, trade secrets, and proprietary processes. Nothing in these Terms transfers any ownership rights to you. All rights not expressly granted to you are reserved by Infos B4B.

If you provide us with feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you grant Infos B4B a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback for any purpose, without obligation or compensation to you.

You represent and warrant that any data, content, or material you submit to Infos B4B in connection with the Services — including for appending, hygiene, cleansing, or management work — is owned by you or used by you with all necessary rights and consents, and that providing it to us for processing does not violate any third-party rights or applicable law.

You agree that you will use the Services only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you will not, and will not permit any third party to:

• Resell, rent, sublicense, lease, lend, distribute, publish, or otherwise transfer the Data, in whole or in part, to any third party, except as expressly authorized in writing by Infos B4B.
• Use the Data to build, supplement, enrich, train, or update any competing database, data product, machine learning model, or commercial dataset.
• Copy, modify, reverse engineer, decompile, disassemble, or create derivative works of the Services, or attempt to discover any underlying source code, structure, or trade secrets.
• Use any robot, spider, scraper, crawler, or other automated means to access the Site or extract Data, except through interfaces and methods we explicitly authorize.
• Attempt to gain unauthorized access to any portion of the Services, our servers, or any related systems or networks, or test, probe, or scan the vulnerability of any system or network.
• Interfere with, disrupt, or impair the performance of the Services or any other user's use of the Services, including by introducing viruses, malware, worms, or other harmful code, or by flooding, spamming, or overloading our infrastructure.
• Use the Data in connection with any decision regarding consumer credit, insurance underwriting, employment screening, tenant screening, or any other purpose covered by the federal Fair Credit Reporting Act (FCRA) or comparable state laws.
• Use the Data to send unsolicited commercial messages that violate applicable anti-spam or telemarketing laws, or to create, transmit, or distribute content that is defamatory, obscene, pornographic, harassing, fraudulent, or that promotes violence, terrorism, or illegal activity.
• Use the Data to target survivors of deceased individuals or to send messages to recipients you know or should reasonably know to be minors.
• Misrepresent the source of any communication sent using the Data, or use false header information, deceptive subject lines, or fraudulent sender identities.
• Combine, merge, or commingle the Data with any other data set in a manner that would allow the Data or any portion of it to be extracted, re-identified, or reused outside the scope of your license.
• Use the Services in any way that violates any applicable federal, state, local, or international law, regulation, or industry standard.

Infos B4B reserves the right to monitor use of the Services for compliance with these Terms, but has no obligation to do so. Our decision not to act on any particular violation will not waive our right to act on any other violation, past, present, or future.

You are solely responsible for ensuring that your campaigns, communications, and use of the Data comply with all applicable laws, including but not limited to: the U.S. CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), federal and state Do-Not-Call requirements, the Children's Online Privacy Protection Act (COPPA), the FCRA, Canada's Anti-Spam Legislation (CASL), the EU General Data Protection Regulation (GDPR), the UK GDPR, the California Consumer Privacy Act and California Privacy Rights Act (CCPA/CPRA), and the guidelines of the Data and Marketing Association (DMA). You are responsible for honoring opt-out, unsubscribe, and suppression requests in accordance with these laws.

You acknowledge that some records within the Data may be subject to one or more do-not-contact registries or other regulatory restrictions. You are responsible for maintaining current subscriptions to all applicable do-not-call, do-not-mail, and do-not-email lists, and for suppressing such records before deploying any campaign.

When you provide Infos B4B with customer or prospect data for appending, hygiene, validation, or processing, you represent and warrant that you have obtained all consents, permissions, and notices required to transfer that data to us lawfully and to enable us to process it for the purposes described in your order.

Fees for the Services are set out in the applicable quote, order form, invoice, or online checkout page. Unless otherwise agreed in writing, all fees are due in U.S. dollars and payable in full before any Data, list, or finalized deliverable is released to you. We reserve the right to withhold delivery or suspend access until cleared payment is received.

Because mailing lists and data files are custom-prepared digital products that lose commercial value once delivered, all sales are final and non-refundable, except as required by law or where Infos B4B has expressly agreed in writing to a refund or replacement. Where we agree to provide a replacement or credit for records that fall below a guaranteed deliverability threshold, the remedy will be limited to a proportional credit toward future Services or a replacement of the affected records, at our discretion.

You are responsible for all applicable taxes, duties, and similar charges associated with your purchase, other than taxes imposed on Infos B4B's net income.

Each party agrees that it will treat any non-public information disclosed by the other party in connection with the Services as confidential, will use such information only as necessary to perform under these Terms, and will protect it using at least the same degree of care it uses to protect its own confidential information of similar importance, and in no event less than a reasonable degree of care.

Your access to and use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

The Site may contain links to third-party websites, tools, or services that are not owned or controlled by Infos B4B. We are not responsible for the content, accuracy, privacy practices, or business practices of any third party. Your dealings with any third party accessed through the Site are solely between you and that third party.

The Services and Data are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Infos B4B disclaims all warranties, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

While Infos B4B takes reasonable steps to compile, verify, and maintain its data — including regular tele-verification, email validation, and hygiene processes — we do not warrant that the Data will be accurate, complete, current, uninterrupted, error-free, or suitable for any particular use. Published deliverability, accuracy, or response rates are industry estimates based on aggregate performance and are not guarantees for any individual campaign or list.

To the fullest extent permitted by law, in no event will Infos B4B, its affiliates, or any of its officers, directors, employees, agents, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or relating to these Terms or the Services, even if Infos B4B has been advised of the possibility of such damages.

Infos B4B's total aggregate liability arising out of or relating to these Terms or the Services, whether in contract, tort, or otherwise, will not exceed the total amount you paid to Infos B4B for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event that gave rise to the claim. Your sole and exclusive remedy for dissatisfaction with the Services is to stop using them.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Infos B4B, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services or Data; (b) your breach or alleged breach of these Terms or any applicable law; (c) your campaigns, communications, or business practices; (d) your violation of any third party's rights, including privacy, publicity, or intellectual property rights; or (e) any data or content you submit to Infos B4B.

You acknowledge that any breach of these Terms — particularly any unauthorized use, disclosure, copying, or redistribution of the Data — may cause Infos B4B irreparable harm for which monetary damages would not be an adequate remedy. Accordingly, Infos B4B is entitled to seek injunctive or other equitable relief, in addition to any other remedies available at law or in equity, without the need to post a bond.

You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them, by operation of law or otherwise, without the prior written consent of Infos B4B. Any attempted assignment in violation of this section is void. Infos B4B can freely assign these Terms as a whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for the resolution of any such dispute, and you waive any objection to such jurisdiction or venue based on inconvenient forum or any similar grounds.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Infos B4B will not be liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, governmental action, internet or telecommunications failures, cyberattacks, or the acts or omissions of third-party service providers.

Infos B4B may revise these Terms from time to time, in our sole discretion, to reflect changes in our Services, our business practices, or applicable law. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the Site or Services after the revised Terms are posted will constitute your acceptance of the revised Terms. If you do not agree to any changes, you must stop using the Services.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. No waiver of any term will be deemed a further or continuing waiver of that term or any other term, and a party's failure to assert any right or provision will not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and any signed order form, statement of work, or master services agreement between you and Infos B4B, constitute the entire agreement between you and Infos B4B regarding the Services and supersede all prior or contemporaneous understandings, communications, proposals, or representations, whether written or oral. No modification of these Terms will be effective unless made in writing and signed by an authorized representative of Infos B4B.
